You should carefully read all the terms and conditions of this agreement
prior to using this software. If you do not agree to the terms of this
agreement, do not open the disk package and do not install the software.
Promptly return the unopened disk package and other items that are part
of this product to the place you obtained them for a full refund.
PRODUCT: "InfoRecall" software and related items.
License
You have the non-exclusive license to use the software product
identifies above on a single computer. You may use the software on a
network provided you have purchased a number of software packages equal
to the maximum number of copies in use by you at any one time.
RESTRICTIONS
You may not sub license, assign, transfer, loan, rent or lease the
software of your rights under this license except as expressly provided
in this Agreement. Any attempt otherwise to sub license, assign,
transfer, loan, rent or lease the software or your rights under this
license is void and will result in termination of this Agreement.
Individuals who wish to distribute the InfoRecall package to friends or
associates may do so freely in accordance with the restrictions outlined
in LICENSE.TXT
You may not alter, merge, modify or adapt the software in any way
including desassembling or decompiling, or attempt to do any of the
foregoing, without the prior written consent of Phantech Software Inc.
You may not use, copy, modify, or transfer the software or any copy,
modification or merged portion thereof in whole or in part, except as
expressly provided for herein.
BACK-UP
You may make back-up copies of the software but not of the user
documentation. Each backup copy must include the copyright notice
included in this Agreement. The installation of the software on your hard
drive is permitted subject to these conditions.
COPYRIGHT
Phantech Software Inc. owns all intellectual property rights in the
software and the user documentation. Theserights are protected by
Canadian and United States copyright laws, other applicable copyright
laws, and international treaty provisions. Phantech Software Inc.
retains all rights in the software and user documentation not expressly
granted under this Agreement.
TERM
This license is effective until terminated in accordance with this
Agreement. You may terminate it at any time by destroying the software
and user documentation together with all copies, modifications and merged
portions in any form. Your license will also terminate upon conditions
set forth elsewhere in this Agreement or if you fail to comply with any
term or condition of this Agreement. You agree that upon such
termination you will destroy the software and the user documentation
together with all copies, modifications and merged portions in any form.
LIMITED WARRANTY
Phantech Software Inc. warrants the supplied diskettes to be free from
defects in materials and workmanship under normal use for a period of
ninety (90) days from the date of delivery to you as evidenced by a copy
of your receipt. The software and user documentation is provided "as is"
without warranty of any kind, either express or implied, statutory or
otherwise, including but not limited to any implied warranties of
merchantability and fitness for a particular purpose. The entire risk as
to the quality and performance of the software is with you. Should the
software prove defective, you (and not Phantech Software Inc.
or its authorized dealer) assume the entire cost and responsibility for
all necessary servicing, repair or correction. For greater certainty,
Phantech Software Inc. does not warrant that the functions contained in
the software will meet your requirements or that the operation of the
software will be uninterrupted or error free. The warranty and remedies
set forth herein are exclusive and in lieu of all others, oral or
written, express or implied. No authorized dealer, distributor, agent or
employee of Phantech Software Inc. is authorized to make any
modification, or addition to this warranty. Some states do not allow the
exclusion of implied warranties, so the above exclusion may not apply to
you. This warranty gives you specific legal rights and you may also have
other rights which vary from state to state.
LIMITATIONS OF REMEDIES
Because software is inherently complex and may not be completely free of
errors, you are advised to verity your work and to make back-up copies.
The liability of Phantech Software Inc. and your exclusive remedy shall
be (a) the replacement of any diskettes not meeting the limited warranty
provided above, so long as the diskettes are returned to Phantech
Software Inc. or its authorized dealer with a copy of your receipt
within ninety(90) days of purchase; or(b) if we are or the dealer is
unable to deliver a replacement diskette(s) which is free of defects in
materials or workmanship, you may terminate this Agreement by returning
the software and all user documentation to us or the dealer.
IN NO EVENT WILL PHANTECH SOFTWARE INC. BE LIABLE TO YOU FOR ANY
DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS OR OTHER INCIDENTAL OR
CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE
SOFTWARE EVEN IF PHANTECH SOFTWARE INC. OR ITS AUTHORIZED DEALER HAS
BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY
OTHER PARTY.
Some states do not allow the limitation or exclusion of liability for
incidental or consequential damages so the above limitation or exclusion
may not apply to you.
GOVERNING LAW
This Agreement will be governed by the laws of the Province of Ontario.

ACKNOWLEDGEMENT
By opening the software package, you acknowledge that you have eead this
agreement, understand it and agree to be bound by its terms and
conditions, you further agree that this is the complete and exclusive
agreement between us which supersedes any proposal or prior agreement,
oral or written, and any other communications between us relating to the
subject matter of this agreement.
